Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Consensus Studio ("Company," "we," "us," or "our") governing your access to and use of the Consensus Studio application, website, and related services (collectively, the "Service").

By creating an account, making a purchase, or using any part of the Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Service

Consensus Studio is a macOS application that enables multi-model AI conversations. The Service allows users to interact with various AI models from third-party providers through a unified interface. The Service may be used with:

• Your Own API Keys (BYOK): You provide and pay for your own API keys directly to providers
• Consensus Credits: Pre-purchased credits that allow access to AI models through our proxy service

3. Account Registration

To purchase credits or use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Credits and Payments

4.1 Credit Purchases

• Credits are digital tokens used to access AI services through our platform
• Credits are sold in packages at prices displayed at time of purchase
• All prices are in US Dollars unless otherwise stated
• Prices are subject to change without notice; changes do not affect prior purchases
• Payment processing is handled by Stripe; their terms apply to transactions

4.2 Credit Usage

• Credits are deducted based on actual API usage (tokens processed)
• Different AI models have different credit costs per token
• Credit costs are displayed before each request when possible
• We reserve the right to adjust credit pricing for different models

4.3 No Refunds

ALL CREDIT PURCHASES ARE FINAL AND NON-REFUNDABLE. Credits are digital goods that are consumed upon use. By purchasing credits, you acknowledge and agree that you are not entitled to any refund, except as required by applicable law or in cases of verified technical failure on our part. 4.4 Credit Expiration

Purchased credits expire one (1) year from the date of purchase. We will provide advance notice in the app before your credits expire. Expired credits are forfeited and non-refundable.

• Credits expire 12 months from purchase date
• Promotional or bonus credits may have shorter expiration periods, which will be clearly stated at issuance
• We will provide advance notice in the app before expiration
• Credits are non-transferable between accounts
• Credits have no cash value and cannot be redeemed for cash

4.5 Token Pricing and Estimates

• Estimates are approximate: Token counts shown before or during a conversation are estimates. Actual consumption may vary.
• Pricing subject to change: Token pricing may change at any time without prior notice due to platform updates, AI provider cost changes, or model availability.
• Provider pricing passthrough: We pass through AI provider costs with a platform markup. If providers increase prices, your effective cost increases accordingly.
• Actual usage governs: Your account is charged based on actual token consumption as reported by AI providers, not estimates displayed in the app.
• Check before sending: You are responsible for reviewing estimated costs before sending messages.

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Generate illegal, harmful, threatening, abusive, harassing, defamatory, or obscene content
• Generate content that exploits minors or depicts child sexual abuse material
• Generate malware, viruses, or code intended to harm systems
• Attempt to bypass rate limits, security measures, or access controls
• Resell, redistribute, or commercially exploit credits or API access
• Use automated systems to abuse the Service (bots, scrapers, etc.)
• Impersonate others or misrepresent your affiliation
• Violate any applicable laws, regulations, or third-party rights
• Generate content that violates AI provider acceptable use policies

Violation of this policy may result in immediate termination without refund.

6. AI-Generated Content Disclaimer

IMPORTANT: AI-generated content may be inaccurate, incomplete, biased, or inappropriate. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. Do not rely on AI outputs for medical, legal, financial, or other professional decisions.

• AI models can and do produce incorrect, misleading, or fabricated information ("hallucinations")
• You are solely responsible for verifying any AI-generated content before use
• We do not endorse, verify, or guarantee the accuracy of any AI output
• AI outputs may reflect biases present in training data
• You assume all risk associated with using AI-generated content

7. Third-Party Services

The Service relies on third-party AI providers including but not limited to:

• OpenAI (GPT models)
• Anthropic (Claude models)
• Google (Gemini models)
• DeepSeek
• OpenRouter (300+ models)
• Other providers as added

Your use of AI models is subject to each provider's terms of service and acceptable use policies. We are not responsible for the availability, accuracy, or conduct of third-party services. Third-party services may be modified, suspended, or discontinued at any time without notice.

7.1 Data Handling by Third Parties

8. Intellectual Property

• The Service, including all code, design, and content, is owned by Consensus Studio
• You may not copy, modify, distribute, sell, or reverse engineer the Service
• AI-generated content ownership is governed by the respective AI provider's terms
• You retain ownership of content you input into the Service
• We claim no ownership over your conversations or generated outputs

9. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Account Termination

• You may terminate your account at any time by contacting us
• We may suspend or terminate your account for violation of these Terms
• Upon termination, unused credits are forfeited and non-refundable
• Termination does not relieve you of obligations incurred prior to termination

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO GUARANTEES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY AI OUTPUT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONSENSUS STUDIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY AI-GENERATED CONTENT; (C) UNAUTHORIZED ACCESS TO YOUR DATA; (D) THIRD-PARTY CONDUCT; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Consensus Studio and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content you generate or submit; or (e) your violation of any applicable laws.

14. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, USA. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in California for any disputes.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Consensus Studio regarding the Service and supersede all prior agreements and understandings.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice in the Service. Your continued use after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
